The Well Told Provides Update on Application for Management Cease Trade Order

Toronto, Ontario--(Newsfile Corp. - April 14, 2023) - The Well Told Company Inc. (TSXV: WLCO) (FSE: 7HO) ("Well Told" or the "Company"), ‎the female-founded wellness company that offers plant-based supplements, remedies, and other functional wellness products, announces further to its press release of April 11, 2023, that the Ontario Securities Commission (the ‎‎"OSC") has rejected the Company's application for a management cease trade order (the "MCTO") as the ‎Company is not viewed as having a sufficiently active liquid market.

The Company filed the MCTO with the OSC due to an anticipated delay in filing its audited annual ‎financial statements and management discussion & analysis for the financial year ended December 31, 2022, and the CEO and CFO certificates, all as required by National Instrument 51-102 - ‎Continuous Disclosure Obligations and National Instrument 52-109 - Certification of Disclosure in Issuers' ‎Annual and Interim Filings (collectively, the "Documents"). The Documents are required to be filed by ‎May 1, 2023 (the "FilingDeadline"). As a consequence, if the Documents are not filed by the Filing ‎Deadline, the Company anticipates the imposition by the OSC of a Failure-to-File Cease Trade Order ‎‎("FFCTO").‎

The anticipated delay is due, in part, to the complexity of the audit, the additional and high costs required for the Company's auditors to complete their work and the Company's current financial position.

The Company is currently seeking capital by means of a debt or equity financing and will work diligently and expeditiously with its auditors and expects to file the Documents as soon as possible but no later than June 30, 2023.
