PublicSquare Announces the Closing of $36.2 Million Registered Direct Offering of Common Stock

PSQ Holdings, Inc. (NYSE: PSQH) ("PublicSquare," or the "Company"), America's leading commerce and payments ecosystem valuing life, family, and liberty, today announced that it has closed a registered direct offering for the purchase and sale of an aggregate of 7,813,931 shares of its Class A common stock at a purchase price per share of $4.63, for gross proceeds of approximately $36.2 million. The offering closed on December 5, 2024.

Roth Capital Partners acted as the exclusive placement agent for the offering.

The gross proceeds from the offering to the Company were approximately $36.2 million, before deducting placement agent’s fees and other offering expense payable by the Company. The Company intends to use the net proceeds from the offering for general corporate purposes, including working capital.
