I get your point on dilution involved in this process but my point is the arbitrary nature of pegging a value for this conversion.  There should be some rules involving setting a price of

Your pov is wrong.   If the pref shares had been converted at $0.02 then 42.8 million common shares would have been issued. Pref holders agreed to $0.10 convert price.
