VANCOUVER, BC--(Marketwired - May 25, 2016) - Integra Gold Corp.
(TSX VENTURE: ICG) (OTCQX: ICGQF), ("Integra" or the "Company") is
pleased to announce that as of May 24, 2016 all outstanding warrants have been exercised. A total of 39,939,799 warrants were
exercised at prices ranging from $0.26 to $0.30, representing total cash proceeds to the Company of $11,833,368. Of this total,
37,396,538 warrants, representing total cash proceeds of $11,105,378, were exercised since January 1, 2016. The Company confirms
there are no additional warrants outstanding.
Change of Auditor
The Company also announces it has changed its auditors to Ernst & Young LLP from Morgan & Company LLP, effective May 6, 2016.
In accordance with National Instrument 51-102, the notice of change of auditor, together with the required letters from the
former auditor and the successor auditor, have been reviewed by the audit committee and the board of directors and filed on
SEDAR.

Integra Gold is a junior gold exploration company advancing projects in Val-d'Or, Québec, one of the top mining jurisdictions
