Should we be concerned about the disclaimer on the NR that reads...

"NOT FOR DISTRIBUTION TO UNITED STATES WIRE SERVICES OR DISSEMINATION IN THE UNITED STATES"

I aks because I now have seen this on several other NR's from other companies that have announced a "non-brokered convertable debenture".

Anyone have any specific knowledge of this disclaimer? or any experience with it's existance? BTW, the SP for the companies I mentioned all fell, in the days following the announcements. 

Examples:

Kirkland Lake Gold Inc. T.KGI:TSX  (recent)

 

Oremex Silver Inc. V.OAG:CDX     (recent)

 

GAZIT-GLOBE Inc.   (anounced in May 2012, SP dropped then began to recover in Aug-Sept)

 

Not bashing, just sharing and trying to backup thoughts with actual research. I still own BioExx (2.0), and still want to hear from the peanut gallery.  So let's hear it...

This is always the case. The stock is listed in Canada and can only offer sales through Canadian fixers.   Going to the US would require other disclosures, red tape and fees that are not necessary when US investors can buy here and now anyway. Why would a company want to solicit in the US if there is no need to and can't do it easily.
