Pursuant to the terms of the Stalking Horse APA, the Stalking Horse Purchaser has
agreed to pay $2.2 million in cash (together with additional consideration) in exchange for the Beleave Group's assets.

That's just for the assets, they won't assume the liabilities... Shareholders would be left with nothing.

Exactly.  Some plants, some materials, customer lists from medi-green, some logos, an application and a license, which are useless without the underlying properties.  Beleave sells all the assets for less than they owe vendors and we go into bankruptcy and get nothing. That is how its done.

Seems like Bill is trying to grab whatever is left for pennies to a dollar behind the viel of this stalked horse deal. In this case I guess Bankcruptcy is a better option for creditors or unless someone like Jean or Auxly come forward to take the business as is in exchange for its shares
