How is this  decision in the best interest of the company and its shareholders ?  

Who made this decision and How can it be made and not have allo directors and management not be in a  CONFLICT OF INTEREST

Truly disgraceful behaviour from insiders....I wouldn't be surprised if they face a lawsuit over this.
