HIGH TIDE TO ACQUIRE RETAIL CANNABIS STORES FROM CHOOM HOLDINGS

Choom Holdings Inc. has entered into a binding agreement with High Tide Inc. in which High Tide will acquire two operating retail cannabis stores in British Columbia, six operating retail cannabis stores in Alberta and one operating retail cannabis store in Ontario from Choom, and certain of its subsidiaries, for $5.1-million. The transaction arises from the sale and investment solicitation process permitted under the company's previously announced proceedings under the companies' Creditors Arrangement Act (Canada) (CCAA). The company will seek approval of the transaction from the Supreme Court of British Columbia on or about July 8, 2022.

Additionally, Choom announces the resignation of Corey Gillon, director and chief executive officer, and Dylan Murray, chief financial officer, which will be effective Aug. 1, 2022.
