Potential for competing bids

Canaccord has a research report out today on the potential for competing bids. They estimate another bid could come at $8.73 (based on 4x EBITDA).

National Bank, in a similar research note, says NRG is a better fit with KWH. NRG has also been making acquisitions in the past year. NRG, like Vistra, is a US company with a market cap of around $12 billion. Both of these companies could easily swallow KWH, and both could afford to pay more.

The potential for competing bids is stong IMO. Yet, I took the opportunity yesterday to sell half my position. I have been holding shares for many years and started buying around 3.50 to 4 bucks so I am happy with my return, The other half will wait it out to the bitter end in case there is a competing offer. I would be content with $8.5 - $9 per share.

You don't have to hope for it to go through.  Most of it is available on the open market now.

If you read the news release you can see that they anticipate the possibility of competing bids and the agreement gives Vistra the right to match them: “The definitive agreement includes customary deal protections, including non-solicitation covenants, the right of Vistra to match any competing proposals ”

I would say the many people who bought shares yesterday around $7.50 are most likely anticipating/hoping for a competing bid? I don’t think they do it for just a return of about 3.5% for when the deal closes in maybe  2.5 months to possibly almost 5 months? ( Closing date sometime in Q2 ) Now on the other hand it is a nice opportunity to park some of your capital till after we know more ...more

Yes, however that is different than going out and seeking bids, which Chrius (or any company for that matter) should do in the first place.

What is needed is a dissatisfied shareholder(s) to push the cause with yhe company. I was interested in an RFID company that accepted a takeover offer that was significantly low.(can't recall recall yhe name, but i believe the symbol was SI) A group of dissident shareholders went to the companies competitors, one of which put in a bid for the company. In the end, the original suitor was forced ...more

So did the insiders of the RFID company in my example.  Would you take $8.75?
