I called HS, the old CEO and he was in Kazakhstan and he gave these answers:
The 5cent PP was started in July 2010 which was Q1 and this private placement
did not complete until early October 2010 which ended up being Q2.
Q2 was equal to Sept-Oct-Nov and hence the filing was due January 14th 2011. So
this was NOT done when the stock was higher, period.
As for as his comments on the company, he loves the project, thinks the new management
needs time and to put their footprint on the company.

This issue is not at rest. The share price is what it is under the new management.
