According to Investopedia.com Board of Directors is a group of individuals elected to represent shareholders. In other words, the Board of Directors should do what the shareholders want. Recently, I witnessed a situation where the company announced a merger deal with another company and almost all shareholders are absolutely against it while the Board of Directors is continuing to push for the deal. Even, the CEO who was just fired strongly opposes the deal (I spoke to him on the phone).
