This is copied and pasted directly from Canada business corporation act of 1985.  There has been a multitude of Supreme Court case against directors based the those few sentences.  Ask yourself: has Gregg Sedun, Javier Reyes, Leonard Clough, Mark Bailey, and Sam Wong as directors and officers of Core Gold always acted in the “best interest” of the company or “acted honestly” with shareholders and in negotiated in” good faith”?  It’s very apparent that they didn’t.  

Duty of care of directors and officers

• 122 (1) Every director and officer of a corporation in exercising their powers and discharging their duties shall

  • (a) act honestly and in good faith with a view to the best interests of the corporation; and

  • (b) exercise the care, diligence and skill that a reasonably porudent person would exercise in comparable circumstances.
