I am not familiar with the story or history of the companies and offer, aside from some basic reads on it.

Seems to me to be easy money from this level to the takeout offer of $1. But nothing is easy, so what am I missing that accounts for the 8 cent spread ?

You are missing that it is not a $1.00 offer anymore.  It is ABH shares and a limited amt of cash.  if it was 100% cash, it would be better but most people will want 100% cash due to ABH share price decline.  This will cause most or all to receive a combination of cash and ABH shares.  Read the details of the offer.  See below....   Offer to Purchase all of the

Looks like the $1 is a pipedream, and yet the other guys offered $1.40. Now I understand better why it is trading at 92 and going lower.
