IF MY CALC's ARE CORRECT
The problem isn't the price or Market Cap of T.CMED, it's the Price or Market Cap of V.ACB
T.CMED mgmt is correct, V.ACB is overvalued right now by approx 2x
PROOF:
T.WEED has a Market Cap of $3.5B and Book Value of $731M. So it trades at 4.8x BOOK VALUE. T.WEED has traded as high $4.1B Market Cap, or 5.6x Book Value
T.CMED has a Market Cap of $450M and Book Value of $91M. So it trades at 4.9x BOOK VALUE. Assuming $24 offer Price, Market Cap becomes $544M or would trade 5.9x Book Value. Fairly close to T.WEED's high point, so one can see maybe where the $24 offer comes from...
V.ACB has a Market Cap of $2.5B and Book Value of $245M. So it trades at 10x BOOK VALUE.
If this was a fair offer, V.ACB would trade at $3.25'ish, and for every share of T.CMED, shareholder would receive approx 7.4 shares of V.ACB.

I should add that the Warrant Conversion of approx $51m would change the V.ACB Market Cap to Book Value metric slightly... From 10x in my previous analysis to 8.5x. But still looks like V.ACB is overvalued Vs. T.CMED and T.WEED
