Imo, I don't think he cares what he has to do to consolidate HRG.I don't believe he cares about share holder value of either company as I believe once he has consolidated he will sell the whole company to some entity

for a valuation that far exceeds what he acquired it for.

If he wanted to sell the company then if he was smart, he would solidify the value of Nord by demonstrating NORD's value by paying for it himself.  Duh!
