ISEE3D ANNOUNCES $3.3 MILLION BROKERED PRIVATE PLACEMENT

ISee3D Inc. has engaged Union Securities Ltd. to act as iSee3D's lead agent for a syndicate including Haywood Securities Inc. on a commercially reasonable-efforts basis in connection with a private placement of up to 4.4 million common shares at a rate of 75 cents per share for aggregate gross proceeds of up to $3.3-million. The agents will receive a cash commission equal to 7 per cent of the aggregate gross proceeds of the offering and a work fee of $15,000.

The shares issued pursuant to the private placement will be subject to a four-month hold period and the offering will be subject to the approval of the TSX Venture Exchange. Proceeds from the offering will be used for general working capital requirements.
