Remember that insdiers are buying right now. They're not doing that before the spinoff because they think they're buying air.

With the US political climate threatening to penalize US investors buying into cannabis stocks, or even the possibility of delisting cannabis stocks on americna exchanges (see what happened on german exchanges) this is a way for them to take the part of their business which isn't directly involved in cannabis cultivation or retail and trade that portion of their operation on the american exchange minus the risk of being penalized for being a pot stock.
