Sounds like you fell off the turnip truck one too many times. You contradict yourself so many times its laughable.
The vendor is selling only a 51% intererest in exchange for a $9 million cash infusion now and $6 million more next year. Win win for both companies. Based on the production numbers and recoveries disclosed even an idiot like yourself should be able to do a NPV or IRR calc to understand this is a good deal. This is what a lender will base any lending decision on.
In addition without knowing what Uniao is being sold for you have no idea how much of a PP is required if any at all.
