Clearly the initial decision to spin out has not worked out.       Would be happier if OGR's share price was much higher to faciliate this and to avoid 20+% dilution.    OGR has a flagship property -the Taunus mine- that they should be soley concentrating on.  No need to divert resources and attention until this is brought into production with minimal dilution.   I hope they will model TMM as a prime example of how to execute.   Once in production, then by all means feel free to pick up OSR.   This just looks like a way to save face and not lose out on stock options, etc.      

I will be voting against it and following up with management about this.  I'll be surprised if this doesn't go through and like bravekind i am concerned about their motives for such a decision.      

My apologies if i've offended any OSR shareholders, not my intention.
