This management information circular (“Circular”) contains certain “forward-looking statements” including with respect to the holding of the Meeting to elect the directors of QuestCap Inc. (“QuestCap” or the “Corporation”) for the ensuing year, appoint McGovern Hurley LLP as auditor of the Corporation, reapprove the Corporation’s rolling stock option plan, approve the change of the Corporation’s name to Medi-Volve Inc.
