Why would you appoint a new board member 5 days or so before your AGM???

This reeks of last-minute thinking. Or panic. Or something.

Does this mean that the company will need to hold a special meeting for shareholders to vote on McGarva's board appointment? Or does he sit on the board until the next AGM before shareholders get to vote on his membership? That doesn't sound kosher.

I'm going to suggest this is not something to worry about even if the timing is slightly unusual. I think you may have missed this as a nominee of Hastings ( major shareholder , who I think own 21.47% of the company). It's probably not panic or last minute thinking ; it's probably something much more simple like he just agreed to join the board . Companies can appoint directors
