TransAlta Shareholders Launch Proxy Battle To Protest $750 Mln Brookfield Renewable Investment

09:47 AM EDT, 03/29/2019 (MT Newswires) -- TransAlta (TA.TO) shareholders Mangrove Partners and Bluescape Energy Partners, who control 10.1% of the power company's shares, on Friday questioned its decision to accept a $750 million investment from Brookfield Renewable Partners (BEP-UN.TO) in order to speed its transition to a fully renewable generating portfolio.

The pair said they plan to nominate an alternative slate of directors at the company's annual meeting because of concerns that management has not disclosed its process or rationale for accepting the investment, which will give Brookfield a 9% stake and two board seats.

"Knowing that no other major shareholder has even a single Board seat, why was Brookfield granted two seats on the Board, despite the fact that its interest in the company is primarily in the form of debt and preferred equity and thus not aligned with TransAlta shareholders generally?," the pair asked in a letter to shareholders.

The pais said that successfully electing even two of the five nominees from its alternative slate will allow the board to rescind the deal.

TransAlta shares were last seen up $0.03 to $9.96 on the Toronto Stock Exchange.
