You are correct, the insiders and financiers do sell to get in on PP's at lower levels and so would I if I had enough money to finance projects etc.

This financing is an OFFER, it means that the finanicing company thinks that investors will buy at the offer price but maybe not, if not then the offer price is reduced or the amount of shares/warrants is reduced. Its a bit more difficult to obtain financing these days so its prudent to not be too agressive with purchases before the financing closes. So while one could lose out if the financing is over subscribed we'll know that the stock is headed higher and can still buy cheap shares.
