The Issuer entered into a binding letter of intent, on January 6, 2021, with FCC to consummate the Transaction. The Transaction will involve the acquisition of all of the outstanding share capital of FCC by the Issuer, with the resulting Canadian reporting company being listed on the Canadian Securities Exchange (the “CSE”) under the name “Franchise Cannabis Corp.” (the “Resulting Issuer”). As a result of the work on the Transaction, the Issuer has put its joint venture with Franchise in Europe on hold.
