On Dec. 12, 2014, Brixton Energy Corp. signed a memorandum of understanding with a privately held company for the purpose of a joint venture, whereby a special-purpose vehicle will be created and will be split 50/50 between Brixton and the private company. The memorandum of understanding outlines the four corners of a deal between the two companies that include a patented proprietary energy technology and up to $500-million in capital for the special-purpose vehicle.
