lawsuit question

Maybe I am tired but can someone help me with a question?

Handeni Gold Inc. filed suit in Canada as a Canadian company.  On February 14th they effected a name change under Nevada corporate laws merging their sub with the parent.  If the deal to buy the land was signed with Douglas Lake as a Nevada Company why would their lawsuit be in Canada?  The parent company cannot move the case just because they merged the companies.  The deal was signed as US companies... Or am I wrong here?

Seems like this was a last gasp for them.  Canadian courts should be refusing the case as I read it.

 Am I wrong?  Help a poor tired guy out LOL

Mermoo- I thought about that when we saw the article (not PR/NR from HNDI btw) about their suit. How/why in Canadian court- neither company is incorporated there. I agree that it is a desparation move on their behalf, and even moreso now that we know it was in response to Ruby's filing in NYC State Supreme Court. I believe the first course of action will be a motion to dismiss in CA and I ...more

I'm pretty certain the lawsuit must (or can) be filed in the jurisdiction in which the company is domiciled. HNDI corporate offices are still in Vancouver (though there was talk of moving to the East Coast), RBYC in NYC, thus the respective venues. Since this was an international agreement, I'm surprised it did not contain an ICC clause which would have designated arbitration or at least a ...more
