If you recall there was a hiatus, the first attempt by RIO was thwarted by the crisis and RIO were unable to raise the funds to purchase outright. This subsequently morphed and turned into another deal with MSM and cash was king, it was obviously in RIO's interest to issue stock and hold onto cash.
