HARJAY wrote: Thank you for contacting the CSA Secretariat. The Canadian Securities Administrators (CSA) is an umbrella organization of Canada’s provincial and territorial securities regulators whose objective is to improve, coordinate and harmonize regulation of the Canadian capital markets.
On November 1st, 2019, the British Columbia Securities Commission issued a Cease Trade Order (CTO) against Simba Essel Energy Inc. for failing to comply with its reporting obligations. For your convenience, a copy of the order is attached. When a CTO is issued, it will remain in effect until either its expiry date is reached or, if there is no expiry date (as in this case), until the decision is revoked by the regulator, when and if the company corrects the deficiencies which caused the CTO to be issued. For general information on CTOs, their duration and their scope, we refer you to the information on our website.
In paragraph 8 of the CTO, there is a carve-out, which allows shareholders of Simba Essel Energy Inc., who are not insiders or control persons, to sell their shares in a foreign market (a market outside of Canada). You must go through an investment dealer to do this. Here are instructions you can share with your dealer, if there is any issue:
- The dealer acting for the shareholder should confirm the shareholder is not an insider/officer/director of the company.
- The dealer should then email UMIRRequests@IIROC.ca with this information, and request an exemption of UMIR 9.1(1).
- IIROC would then be in a position to grant this exemption to the dealer, who can then execute the proposed transaction outside of Canada on a foreign organized regulated market.
Should you have any additional questions on this CTO, we suggest you contact the issuing regulator, the British Columbia Securities Commission:
