Price adjustments The final price to be paid has to be calculated with the working capital, liabilities etc transfered at the moment of the sale. But there is a floor (minimum) and a ceiling (maximum) for the adjustments.
Ceiling Price means (i) €5.9 billion, provided that if Completion does not occur before January 1, 2021, such amount shall be increased starting January 1, 2021 by €100 million per financial quarter on a prorata temporis (calculated on a daily basis), minus (ii) the total accrued amount of Permitted Leakage, if any.
Floor Price means (i) €5.5 billion, provided that if Completion does not occur before January 1, 2021, such amount shall be increased starting January 1, 2021 by €50 million per financial quarter on a prorata temporis basis (calculated on a daily basis) minus (ii) the total aggregate amount of Permitted Leakage, if any,
