If you have not specified on the applicable form of proxy how you want your Common Shares to be voted, then your proxyholder can vote your Common Shares as he or she sees fit.
Unless contrary instructions are provided, Common Shares represented by proxies received by management will be voted FOR the Arrangement Resolution to approve the Arrangement.
