Cline Mining Establishes a Stand-by Commitment for up to US$50 Million

TORONTO, Oct. 3, 2011, 2011 (Canada NewsWire via COMTEX News Network) --

Cline Mining Corporation ("Cline Mining" or the "Company") (TSX:CMK) is pleased to announce that it has entered into a binding term sheet (the "Term Sheet") with Marret Asset Management Inc. ("Marret") on behalf of a syndicate of lenders (the "Lenders") providing for the issuance of up to US$50 million senior secured notes (the "Notes"). The Notes may be issued to the Lenders, at the Company's option, in integral amounts of US$25 million for a maximum of US$50 million at any time prior to the first anniversary of the signing of the Term Sheet subject to completing definitive documentation. The Notes have a maturity date that is two years from the date Cline Mining first exercises its right to issue any Notes to the Lenders and bear a coupon of 10% per annum, payable semi annually in arrears in equal instalments.

In consideration for the Lenders' commitment under the Term Sheet (the "Commitment"), the Company has agreed to issue to the Lenders 7.5 million common share purchase warrants of the Company (the "Commitment Warrants"). Each Commitment Warrant will allow its owner to purchase one common share of the Company at a price of C$1.75 and will expire on the date that is the third anniversary following the execution date of the Term Sheet. In consideration for drawdowns under the Commitment, the Company covenants to issue to the Lenders 1.25 million common share purchase warrants of the Company for every US$25 million in principal amount of the Notes issued (the "Drawdown Warrants"). The Drawdown Warrants in respect of each Note issuance will be simultaneously issued to the Lenders at the time of such Note issuance, as applicable. Each Drawdown Warrant will allow its owner to purchase one common share of the Company at a price equal to 120% of the volume weighted average price of the Company's common shares over the previous 10 trading days prior to the date on which formal notification of the Company's request to draw on the commitment was given. The Drawdown Warrants will expire on the date that is the third anniversary from the date of issue. While you were reading the NR, I immediately picked up 27,500 shares at 1.15. These guys are wise old timers who do not like to take chances. Frankly, given their age, they have no choice.

Thanks for the post!! WOW..GREAT NEWS!......So basically CMK just secured a $50,000,000 million credit facility which is great news in my books!! Great to see management is looking ahead and ressuring investors that this company is prepared for the long haul! Looking back the $86M stock issue was proably the smartest thing this company could have ever done to protect long term investors, done ...more

Ark88 just picked up more shares also....I was awaiting this back stop to assure they can weather the storm, with lots of cash onhand and the new CF I think these guys just killed the uncertainly about another possible stock issue, and if they have enough money to weather a year of recession.....great move I am a holder for a long while now!I little late but hey.....maybe they use nothing on this ...more

So they have arranged a 50 mil. credit facility, which is 20% of the marketcap of the company. I think that's a pretty decent vote of confidence. Heck, if the SP drops to $1 or lower, management could even go on a share buyback buying spree and cancel those shares. Of course, we have some serious macro econ issues to deal with, but all things considered, putting some money into CMK here is a ...more

Nobody issues a $50 LOC without intensive DD which includes market forecasts and boots on the ground. This is a confidence booster IMO.

HUGE VOTE of confidence for this company.........IMO Now production & contracts and we have the back stop to weather a year and a half downturn, between cash and CF. It totally de-risks this company.
