He likely saw a scenario where left unchecked this would challenge the low $5's. He had to pivot quickly and convene a special board with the illusion that there is some concrete interest in the company. Trust me when I tell you this will drift lower and it will be then when a company who is interested in acquiring will obtain the necessary threshold of shares to intiate a hostile. Don't fall into a trap folks.
