RE:$9.45 just won't fly. Opening salvo only.

RE:$9.45 just won't fly. Opening salvo only.I see the value much higher than $9.45 per share because of the real estate that they have.

I don't understand why an Affiliate of Ontario Teachers' Pension Plan Board sold in January of this year their 10% portion for the same offer price of today at $9.45.

PSUs Granted to Ms. Foulkes in Fiscal 2018

In February 2018, Ms. Foulkes was granted PSUs, which were the same in design as the
Realignment PSUs granted to other NEOs in December 2017.
The PSUs will only result in incremental value to Ms. Foulkes to the extent that the price of HBC’s
Common Shares increases.
Ms. Foulkes will earn the “Threshold”, “Target”, or “Maximum” number of shares and
corresponding value if the price of HBC’s Common Shares of $15.32, $16.49, or $23.35 is achieved
based on the highest 90-calendar day average closing price, respectively, during the 4-year period as
follows:
PSU targets
4-Year Stock Price Growth Goals(1)(2)
Performance Level Payout (% of Target Number of Realignment PSUs)
Threshold ($15.32 Common Share price) .......................................... 50%
Target ($16.49 Common Share price) ................................................ 100%
Maximum ($23.35 Common Share price)........................................... 150%
