Majority of the minority Mr. Yu can not vote his shares to get the deal appoved. The deal has to be approved by a majority of the minority. It is also interesting that they have said that the deal was approved by all the Board members however one resigned before the vote. On another matter it was Deloite's Hong Kong that did the valuation.
It would be interesting to find out what a Toronto based valuator would determined HF's fair value.
Agrium wrote off their investment about a year ago, so they don"t care, it ends up being a gain for them.
