At the risk of repeating myself, the Break Fee did  NOTHING for the shareholders of IPL, it only protected PPL. I believe the IPL's  BoD, and the "Commitees" handling this affair made a costly error by agreeing that the Break Fee  be part of PPL's offer to this merge. (Which may not take place anyway.)

At the risk of repeating myself, the Break Fee was required to make the arrangement with PPL.  This  forced Brookfield to raise their bid. The IPL Board is to be congratulated on their actions. They are now reviewing the revised, revised bid by Brookfield. They are well aware of their fiduciary duty and I expect they will act accordingly.
