Large shareholders often have different needs such as a need for dividends or to lighten up on shares with a low share price or they get to buy into a private placement (with free warrants) offered by the suitor six months down the road that ordinary shareholders cannot participate in or a convertible debenture offer. Or just a good exit point for any of many unique reasons. Their approval does not equal 'good offer for ordinary shareholders'.
