If NGP tenders all of their shares

How does any other shareholders tender their share? only 18MM shares will be purchased by NBZ for cancellation..

I dont understand this pro-rata thing.

"NGP IX Northern Blizzard S..r.l., which owns 42.4% of Northern Blizzard's Shares, has entered into a lock-up agreement to tender all of its Shares pursuant to the Offer.  Northern Blizzard's directors and officers do not intend to tender their Shares."

Mickey2 -  "I dont understand this pro-rata thing." 'If more than 18,750,000 Shares are properly tendered to the Offer, the Company will take-up and pay for the tendered Shares on a pro-rata basis according to the number of Shares tendered," Pro-rata means that if more than 18,750,000 shares are tendered under the offer, the company will purchase for cancellation at $4.00 ...more

Another possibility is that the shares trade above, maybe well above $4.00 by mid January, and NOBODY offers their shares at $4.00 but NGP.  That would be nice!

That not going to happen because the stupid people running this company put a big giant wall on the price of the stock just as oil was on the cusp of exploding. So we don't participate in the rally. Good news for me is I sold large chunk of holdings when they announced this fiasco and put it into Baytex...so in a way I should be thanking them.

sonofmshade  "...because the stupid people running this company put a big giant wall on the price..." I do not think you fully understand the reality of the offer at $4.00. It is NOT a wall.  Far from it. It is an opportunity for a significant shareholder to sell a large portion of his stock without depressing the price for all other shareholders.  It may not be great ...more

Clearly the market thinks differently. In this environment that very precious cash resource could be better put to use than buying back shares. It tells me the company's management is less worried about running the business than keeping the hedge funds happy. Bad recipe for the small investors.

Hey grumpy. There is no market.understand that and maybe you can understand the investment. I have traded this 6! times since last Jan on small volume on my part because it is what it is;and if anything;predictable.quit betting the farm. Anyway-glad to see today's nr cleared up ambiguities. One fund wants out,one wants to stay, and mngt doesn't want to change structure . Mark my words-new ...more

yeah they've used about less than 10% give or take max of their non-core assets to buy back 15% of shares outstanding at $4 per share. Doesn't that say anything? also if everyone tendered their shares for the overall shareholder value, the percentage ownership does not change at all. so everyone should tender their shares to be fair in sharing the benefit. however, it is better not to ...more
