BE IT RESOLVED as an ordinary resoluon that:
1. the 15,000,000 Credit Facility Warrants (as such term is dened in the
management informaon circular of the Corporaon dated January 4, 2022) issued
to Pala Investments Limited ("Pala") on November 30, 2021 are exercisable in
accordance with their terms and the resulng issuance of common shares of the
Corporaon to Pala pursuant to the terms of the Credit Facility Warrants, is
authorized and approved; and
2. any director or ocer of the Corporaon is hereby authorized and directed,
acng for, in the name of and on behalf of the Corporaon, to execute or cause to
be executed, under the seal of the Corporaon or otherwise, and to deliver or
cause to be delivered, such other documents and instruments, and to do or cause
to be done all such other acts and things, as may in the opinion of such director or
ocer of the Corporaon be necessary or desirable to carry out the intent of the

Ur a muffin ! thats my proxy vote sheet 4 nci...  Jan 25 2022 Meeting i voted against the resolution to give Vlad an additional 15M shares.. iif U wold spend more time looking for info or buying enuff shares to vote - they U would revieve a Ballot fotr the Jan 25th Meeting.. that 5000 is the minimum to get a Proxy for Voting i hope Ur Brain Stem Extends far enuff to measure this at the

I am not quite understanding it yet. If the resolution fails is it 1) the loan and loan interest that kick in insteadand the 15 million $1.00 warrant disappear, or 2) will Pala still retain the right to the warrants in some way and excersise them down the road? If it is #2 then it would be better to have the $15 million now and be done with that painal, No? If the warrants totally disappear then

Im voting in favor. Ncu will need the cash when warrants are exercised. 15 mill is about 45 day of cash for the mine. Vote yes please

So far i agree. It seems better to have the cash then to end up with those warrants outstnding, only to have them be slightly dilutive further down the road. If the issue is that they go away and we intstead pay some loan interest then maybe it is best to vote no... somehow I doubt that whatever the deal is that it is not already stacked as to be a foregone conclusion anyway so ?? N

SF  !  that 60M Up-tranche is already gone...  by april ! Vlad is simply not going to put any more mney/cash into thsi operation.. in this swamp is the 25,000 Tons sold to the streamer..  only 5000 wee delivered..  NCI has a LME COntak that needs 2B settled first for 20,000..  that 20K tons will go to the LME in London to settle a futures contract/sawp.. if the

Solway and Murcuria...  this is a grea unknown w this element...  its a Shanghai operation.. Murcuria is also shang..  it has an american footprint in the N Dakota Permian Basin - about 20 yrs..  supply fraking truks - some midele gear and hav a couple repair operations..  small time operation and a vendor for a schlumberg or bill barret group/Units - limited/term
