RE:tonight's NewsThe MIC summarizes the differences between the Alberta and BC corporations acts. MIC says:
The Company believes the major changes between its existing by-laws under the
Alberta Act and the New Articles under the BC Act will be as follows:
(a) The Company will be permitted to change its name by way of a directors' resolution. Under the
Alberta Act, a special resolution is required in order to change a company’s name.
(b) The residency requirements for directors are eliminated. This change will allow the Company to
select the best possible directors with the most expertise, regardless of their residency.
(c) The New Articles will contain advance notice provisions for director nominations (see “Advance
Notice Provisions” below).
