RE: Twilight Zone Folks - take a little time to think about this. If they split RVX 208 from RVX Thereapeutics and we now have 2 separate companies called RVX and Spinco.
If WE sell RVX - NONE of the proceeds from that sale belong to Spinco. NONE. The proceeds belong to the shareholders of RVX208.
If the deal involves royalties, (which - as has been discussed here, would not happen for some years), those royalties would be owed to the former shareholders of RVX208. NOT Spinco. There are ways to keep the former owners of RVX registered so that they can get their royalties if and when they occur.
WHY could anyone think those royalites would go to spinco?? in that time period after RVX sells and royalties would be payable a lot of things can happen. Spinco could go public and someone who buys shares in spinco in the interim and had no knowledge of RVX selling off years ealrier would be getting the benefit of royalties from RVX. Spinco could be bought outright by another pharma. Why would that pharma be getting royalties from the RVX sale years earlier.
So - I repeat - if and when there are any royalties from RVX208 ,they would go to the shareholders of RVX.
