Staged Buyout

Would anyone agree with this thought:   Don's Option 1 Development Plan sounds very much like a Contingent Value Rights deal, essentially a staged buyout with a floor price in place and room for extra based on milestones.  If so, I would expect zero dilution from the deal.  In fact I would imagine the upfront could be quite large, even to the extent the company could start buying back some shares if the price dips again in the future, causing consolidation of share value, not dilution.  Also, I wonder if it could be a buyout that dissolves existing shares at a nice PPS, plus creating some new shares (non-voting) for potential future milestone payments.  Dare to dream.  Thoughts anyone?

Also, I seem to remember a time maybe 5 years ago, when in one presentation it was suggested the future total revenue of the company could be 150 billion.  A short time later I also heard the number 350 billion.  Does anybody else remember those numbers being thrown around at an investor presentation in the past?

Without a doubt the indications we are working in are huge.  To me a buyout of this cutting edge technology makes all the sense in the world, especially if two SGLT2 manufacturers each want the role of 'partner'.

But how do you deal with the big elephant in the room out of China that no one wants to talk about? They have a licence to go out on their own in China, do they not? I suspect that SHL is muddying up the works in partnering up with a BP for BOM2.  jmo G1945V

,,hummmm,,wouldn't Hepa have the best of both worlds,,,,,,,,,no additional dollars required to advance 208,,,,,,if success is met then they have the Chinese market to themselves,,possibly larger than the US market,,,,,sounds to me like a large pharma would not hamper what they want long term. Sometimes you can't have your cake and eat it to,,,,it all boils down to dollars and how quickly ...more

I too can see Hepalink adding complication to strict partnership discussions.  Interesting that Don has been in very frequent and direct conversation with them, important enough to stay up until midnight rather than firing off an email  :)   But if we have a buyout offer on the table, then Hepalink's 'added complications' could be perfectly synergized with the ...more

If someone wanted to buy us out that badly, why would they not have done that already? The data have been available since January about the SGLT2 synergies so that's been more than enough time for a BP to get their house in order and make an offer if they wanted to.  I guess a lot of it rests on whether or not there are actually multiple BPs who are enthusiastic about a 'partnership& ...more

Great question, no idea.  It is all very curious! J4P

J4P, From yesterday's presentation, sounds like the 'multiple different formats' that DM referenced in China were all simply different ways to run the PIII trial rather than buyout vs partnership. And now, we continue to wait. Ho hum.
