Chemical sale premium

Chemical sale premiumDoes anyone have a sense of the share value premium that was attached to selling the chemical business? 
The selloff seems unwarranted as it didn't seem teh market was factoring a sale premium. 

TD set a $16 share value but their language implies a Chem sales could provide additional value. 

Canaccord has a $14.50 value and at the then December share price of $12.09. the report noted the the Chem business was being valued at under 6.0X EBITDA at that share price vs. market of 7-8X EBITDA. 
The point being, the share price didn't seem to factor in the sale of the Chem division so why the big sell off. 
With the 6% dividend and growing earnings, I'm a buyer under $12. 
Give me a reason to sell or buy?
