See You in Belleville at the AGM in November

Blartar suggested that we will need to travel to Montreal and speak French to attend the AGM in November this year.

I think the AGM will be in Belleville this November, then move to Montreal in November 2015.

Under the Canada Business Corporations Act, the company's Articles of Incorporation must show the Province where the "Registered Office" is situated.  If you move the head office to Montreal from Belleville then you have changed provinces and need to amend your Articles of Incorporation.

To amend the Articles of Incorporation, you need approval by shareholders of a special resolution.  In the case of changing the province of the registered office, you need to get 2/3 of votes cast to get approval.

The name of the company is also in the Articles of Incorporation.  So to change the name from Bioniche to a new name to rebrand the company, you will also need shareholder approval by 2/3 of votes cast.

I expect to see on this year's shareholder ballot for the AGM two resolutions:  One to move the head office from Belleville to Montreal and the other to change the name from Bioniche to something else.

See you in Belleville in November.  You have another year to learn French.  You should do that anyway.  When I worked in Europe, I met people who spoke 5 languages.

Rube              I was being a smart a$$ again. But I think your right on about next year. Especially about the name change. I hope they don`t try to shaft the long time shareholders with some FANCY shuffle of the shares at that time. After last week I`m ready for anything. JMHO.

It seems counter intuitive that shareholders have not had a say in most of the crippling decisions that Bioniche has made over the years, yet we must vote for a name change. Is there a single share out there that wants to retain the Bioniche handle? I would be thrilled if they bypassed the articles of incorporation and drew a name out of a hat before 9:00 am tomorrow. They aren't Warren Buffett and they aren't Thomas Edison.    No one wants to spend their November hearing about a gameplan that takes forever to execute.    They just want to wake up one day and see that you've finally hit the ball......
