Special Meeting for TST

Following is the initial proposal for special meeting

1. Current management team can keep their positions, but the highest salary should be less than 200k dollars per person including bonus before the final deal approved by all shareholders. Please consider how much money lost for the shareholders! Due to the failure of project, the team should be responsible for the failure.

2. Any assets take-over should be approved by the shareholders and the dissidents should have right to take their part of money based on the net value of the company.

3. If during the period of 3 month, the team can't find assets take-over, the team should liquidate all the assets and disperse all the cash to shareholders as a special dividend.

Following is the list of shares and shareholders supporting the proposal:

Magnus123: 96k
DIprivateinvest: ~450k shares
scuba2223: 500k
Ahmad2000: 240K
Vincentmtl: 680 k
Others: 225k
Total: 2191 k

You can add my ~459K but what is the deal do we have to get our own shares put in our own name? Like I bought mine thru RBC do I have to get those shares transfered to my name before I have any rights to vote with them or something.

It doesn't matter. What you can do is if we truely hold a special meeting, you just vote for our proposal. What we are doing is we want to know how many people would support the proposal and once we have the necessary shares for special meeting, we have the power to negotiate with the team. We just want to protect our interest, especially the small share holders. I know some guys have lost ...more

It's like that saying- if a guy tells you he slept with 50 girls, divide that number by then for a girl multiply the  number by 10. You guys under your little name tags are pumping your chests saying you re holding 500,000 shares worth over 30k... I would divide the number of shares on your list by 10. Going to have to find a person to take over the CEO and CFO position when the management says hell no, to a 1.5 million yearly salary to 200k change.

Could be a possible solution. The thing is we need to express our concerns about the shareholders interest. It's not reasonable for 1.5 million dollars per year salary in current situation of TST.
