Here’s a Secenario…

MSG wants to acquire X1.

MSG shares are currently $191 each. Xtract shares are .50 each

If the structure of the buyout is cash and stock, MSG can absorb X1 shares at a rate of nearly 400-1 if I shares are part of the BO.

500,000 MSG shares cover all Xtract shares out. Not that they would use that many, But they could.

And that would give MSG all the leverage they'd need to borrow funds.

Obviously, shareholders would get some sort of premium, but there is no question that MSG could make it happen.

Its a scenario and indeed for them its not biggie to do it. My thinking is that they are conservative, thus not going outside their core. OVG would be more suitable w/ growing amount of facilities and seemingly good reputation. Not sure whats exactly been printed into msg cooperation papers, I mean BO play with that amount of shares should ve been discussed in some format. At least X1 should be ...more
