This year, out of an abundance of caution, to proactively deal with the unprecedented public health impact of COVID-19, and to mitigate the risks to the health and safety of our communities, Shareholders, employees and other stakeholders, although we plan to hold an in-person meeting, we strongly recommend that Shareholders vote by proxy in advance of the Meeting and DO NOT attend the Meeting in person. Only the matters referred to in this Notice will be addressed at the Meeting. There will be no additional presentations at the Meeting.
NOTICE is hereby given that the annual general and special meeting (the “Meeting”) of the shareholders (the “Shareholders”) of ZENABIS GLOBAL INC. (“Zenabis” or the “Corporation”), on September 17, 2020, at 10:00 a.m. (Vancouver time) for the following purposes:
- 1. To receive and consider the audited financial statements of the Corporation for the financial year ended December 31, 2019, together with the auditors’ report thereon.
- 2. To fix the number of directors of the Corporation for the ensuing year at seven.
- 3. To elect the directors of the Corporation for the ensuing year.
- 4. To appoint KPMG LLP as the auditor of the Corporation for the ensuing year and to authorize the directors of the Corporation to fix their remuneration.
- 5. To consider, and if thought advisable, to approve a special resolution to amend the Articles of the Corporation to provide for the advance notice of director nominations, as more particularly set forth in the accompanying Management Information Circular.
- 6. To transact such other business as may properly be transacted at the Meeting or at any adjournment thereof. A form of proxy and the Management Information Circular (the “Information Circular”) of the Corporation accompany this Notice.
