Instil Bio, Inc. is a clinical-stage biopharmaceutical company focused on developing a pipeline of novel therapies. The Company seeks to in-license/acquire and develop novel therapeutic candidates in diseases with significant unmet medical need. Its first such program is an engineered tumor infiltrating lymphocyte (TIL), cell therapy for the treatment of cancer. The Company has agreed to pay to the Agent a cash commission of 6% of the gross proceeds raised, and issue to the Agent broker warrants to purchase that number of common shares equal to 6% of the securities issued in the Offering, and having the same terms as the warrants issued in the Offering.

"The Agent" is probably part of the syndicate that is participating the PP. So, in essence, he is getting another 6% discount via the commission PLUS he will be given free warrants egual to 6% of the total units sold. What a sweet deal! It's a shame the small buys can not participate. I just hope these big boys support the sp since they are already getting paid through the PP and not dump their shares into the open market.
