COEUR D'ALENE, ID / ACCESSWIRE / April 27, 2023 / Timberline Resources Corporation (OTCQB:TLRS)(TSXV:TBR) ("Timberline" or the "Company") announces that it has filed with the TSX Venture Exchange for approval of a non-brokered private placement of units of the Company ("Units") at a price of US$0.08 per Unit (approximately C$0.11, based on a currency exchange rate of US$0.739 to C$1.00 as of April 25, 2023) for gross proceeds of up to US$3,000,000 (the "Offering"). The Units will be offered solely to persons or institutions who qualify as accredited investors (the "Offering") under Rule 506(b) of Regulation D promulgated by the Securities and Exchange Commission under the Securities Act of 1933, as amended (the "Securities Act"). The Offering is subject to approval by the TSX Venture Exchange.
