Dear xxx,

The diivdend will be issued during the first quarter of 2012. We would have liked to issue it earlier and start the trading of the new company by the end of 2011 but the rules in place make that we had to modify the program. The situation is that this is not a pure spin-off nor than a pure new listing as per the rules, therefore, the project was falling in many "grey zones" of the rules. We had to work with the Exchange and our lawyers to find the right way to do it in order to present an acceptable case for the Authorities. The Exchange have been very helpful and the good news is that we are well prepared and there will not be any surprises. We are currently completeing complete aganda and time line with our legal advisers and Jennings and it will be announced soon.
