All kidding aside, not commuting contractually to being part of a merger, even if they agree in principle is not illegal.   The 39 percent was contractually.  Any  shareholder has a right to support or reject an offer and not state it contractually before the vote.  

They never said they were against it.  Do you not think they voiced some concern or acceptance with hesitation?
